BUY-SIDE DUE DILIGENCE

Our post-deal support includes a value creation assessment and development of a 100-day plan or full potential plan, and identifying the highest priority operational performance improvement initiatives. Our team can help generate portfolio company performance improvement with a diagnostic and implementation for Rapid EBITDA enhancement using 27 individual performance levers in eight improvement areas: Procurement and Sourcing, Supply Chain and Logistics, Manufacturing and Footprint, Plant Network, General and Administrative (G&A) and Overhead Excellence, Research and Development (R&D) and Product Development, People and Organization, and Data and Technology.

We also have expertise in implementing performance management systems to track and report value enhancement initiatives and managing cross-portfolio benefits to reduce healthcare and benefits expenses through our unique offering in collaboration with Mercer.

 POST-TRANSACTION SUPPORT FOR COMMERCIAL EXCELLENCE

We find the impact of commercial effectiveness levers is often significant, such as 12 percent EBITDA improvement or increasing enterprise value tenfold. Our post-deal support involves running a value creation assessment and developing a value creation plan, such as a 100-day plan or full potential plan, including the highest-value pricing and commercial or go-to-market (GTM) opportunities.

Our team identifies revenue uplift opportunities through a variety of pricing and commercial effectiveness levers. This includes:


  • Value proposition and targeting (such as commercial strategy, target customer segments, unique value propositions, and positioning)

EXIT PLANNING AND VENDOR DUE DILIGENCE

Our approach to a vendor due diligence is to take the lens of a potential buyer, and to orient the work around the areas where they are likely to focus. This involves identifying segments that generate the most revenue, segments that are projected to generate the most growth, and segments that may be at risk, if any.

We take the “buyer lens” approach for several reasons. Sellers and bankers are finding that the vendor due dilligence fact-base and insights help keep potential buyers in the sales process longer (particularly applicable with an auction). Notably, it is generally the primary research and synthesized view of the market dynamics that they find most valuable (as most potential buyers have analysts who can pull publicly available data). 

In exit planning, we help identify the best natural buyer, allowing us to work backward to develop the thesis. This process may begin as early as pre-acquisition, encompassing value creation, vendor due diligence, and developing the equity story and ownership strategy.

In vendor due diligence, we work with clients to objectively lay out, utilizing a robust factbase, the dynamics of the market and the company’s position in that market. We break down complexities to ensure the market is well-understood by potential buyers, arming them with the necessary insights. 

 POST-MERGER INTEGRATION & CARVE-OUTS

Oliver Wyman has developed a holistic approach to post-merger integration to ensure that our clients capture the full value of transactions.

We take an integrated approach in this work, and we base our restructuring concepts on four pillars:


  • Strategic repositioning: The focus is placed on core markets and potentially profitable business fields. Business operations that destroy value will be closed or divested.
  • Value-focused business model: Using our approach called value-driven business design, we optimize such business drivers as a company's customer, product, and technology portfolio, define core skills, and align the organization with the strategy.
  • Operational excellence: The focus is placed on lean organizations and processes. In particular, this work is aimed at simplifying production networks and increasing efficiency and effectiveness by applying such methodologies as LEAN and Six Sigma. In addition, purchasing and the entire supply chain are optimized.
  • Financial restructuring: Based on the strategic repositioning work, the value-focused business model, and operational-excellence programs, we determine liquidity needs and the requirements for a sound capital structure through the use of integrated financial planning. This creates the foundation for a financing concept that optimally weighs the interests and decision-making freedom of all participating parties. 

Careful monitoring of the project's implementation is key to its success. Also vital is keeping all stakeholders up to date on the status of implementation, transparently reporting potential problems. Effective communication enables barriers to implementation to be identified at an early stage and then removed. LIQUIDITY FORECASTING AND CASH MANAGEMENT

In a turnaround, there is a shortage of liquidity, often resulting in too much cash being locked up. We create visibility on the true cash available, identify sources and drains of cash flow, and establish or improve rolling cash flow and liquidity forecasts (including scenario planning). Ultimately, our approach is to partner with organizations to determine levers for liquidity improvement.

Simultaneously, we help businesses implement advanced tools, models, and best practices to achieve rapid turnarounds. Through close collaboration with our clients, we take a proactive and comprehensive view on improving liquidity, that allows them to identify shortages early on, and safeguard their solvency long-term.

CREDITOR ADVISORY

We work closely with creditor groups, including global financial institutions, alternative investors, bondholders, national and regional banks, labor constituencies, and other capital providers. 

Our credit advisory experts understand the unique challenges faced by lenders and help navigate the restructuring process. We develop strategies that optimize creditor outcomes, and we work with lenders to ensure their interests are protected and maximize overall financial recovery.
